Software License Policy

1. Licence grant

On full payment, the Company grants you a non-exclusive, non-transferable licence to use the licensed software for your internal business purposes, in accordance with the licence type purchased.

2. Licence types

• Subscription licence — valid while subscription fees are current. Access ends on cancellation or non-payment.
• Perpetual licence — valid indefinitely for the version delivered. Updates require a current support plan.
• Source-available licence — includes source code for internal modification. Redistribution is prohibited.
• Enterprise licence — terms defined in a separate written agreement.

3. Permitted use

• Deployment within your organisation for your internal business operations
• Modification of source code where a source-available licence has been purchased
• Creation of backups and non-production environments for testing
• Use by employees and contractors acting on your behalf, up to any seat limit purchased

4. Prohibited use

• Resale, sublicensing or distribution of the software to third parties
• Offering the software as a hosted service to third parties without a written reseller agreement
• Removal or obscuring of copyright, licence or attribution notices
• Reverse engineering of components delivered in compiled form
• Exceeding purchased seat, tenant or usage limits

5. Seats and usage limits

Licences are issued with a stated seat, user or tenant limit. Exceeding the limit requires purchase of additional capacity. We may audit usage on reasonable notice where a material discrepancy is suspected.

6. Updates and support

Subscription licences include updates and support for the subscription term. Perpetual licences include updates only while a support plan is current. Security patches are made available to all licensees regardless of support status where a material vulnerability is identified.

7. Third-party components

Software solutions incorporate third-party open-source components, each governed by its own licence. A complete component inventory with licence terms is provided in the delivered documentation.

8. Termination

The licence terminates on material breach that remains uncured fourteen days after written notice, or on cancellation of a subscription licence. On termination you must cease use and, where requested, confirm deletion of software copies. Your business data remains yours and is exported to you on request.
